General Conditions
These Terms of Service ("Terms") govern access to and use of the Redline software-as-a-service platform located at www.redline.attorney and its sub-domains (the "Platform"), operated by Gateway Management OÜ, a private limited company incorporated in Estonia (registry code 14988050, address Harju maakond, Tallinn, Kesklinna linnaosa, Kaupmehe tn 6-17, 10114) ("Company", "Redline", "we", or "us").
By accessing, browsing, or using any part of the Platform—including by clicking an “I accept,” “Sign up,” or similar button—you (“Client,” “you,” or “your”) enter into a binding software-as-a-service contract (“Service Contract”) with the Company and agree to these Terms and to our Privacy Policy. If you do not agree, you must not use the Platform.
The Platform is intended for natural persons aged 18 or older with full legal capacity, or for duly authorised representatives of legal entities. You represent and warrant that you meet these criteria.
If the Company and Client execute written special terms, service-level agreements, order forms, or a data-processing agreement (collectively, “Special Terms”), those documents prevail over these Terms to the extent of direct conflict; otherwise, these Terms apply complementarily.
Definitions
“Account” means the administrative profile created by the Client (or its authorised User) to access and use the Platform, containing registration, billing and security credentials.
“Acceptable‑Use & Content Policy” means the rules set out in the Terms that govern what Clients and Users may upload or do on the Platform.
“Beta & Preview Features” means any functionality of the Platform labelled “Beta,” “Preview,” or otherwise indicated as pre‑release; supplied “as‑is,” subject to change without notice and outside SLA commitments. The Platform and Services provided thereunder are currently in a Beta stage.
“Business Day” means any day other than a Saturday, Sunday, or official public holiday in Estonia.
“Business Hours” means 09:00 to 17:00 Eastern European Time (EET) on a Business Day.
“Client” means any natural or legal person that enters into a Service Contract with Redline and, through its Account, uploads contracts for red‑lining.
“Client Content” means contracts, documents, data and materials uploaded to the Platform by the Client or its Users, together with any red‑line outputs generated for them.
“Company” means Gateway Management OÜ, a private limited company incorporated in Estonia that operates the Platform (also referred to as “Redline,” “we,” or “us”).
“Credentials” means the unique user‑name, password, multi‑factor tokens or similar authentication keys associated with an Account or User.
“Data Controller” has the meaning given in the GDPR; generally refers to the party that determines the purposes and means of processing personal data.
“Data Processor” has the meaning given in the GDPR; generally refers to the party that processes personal data on behalf of the Data Controller.
“Documentation” means the online help articles, user manuals, technical specifications and policies published by Redline relating to the Platform.
“Feedback” means any suggestion, idea, enhancement request or bug report submitted by a Client or User about the Platform; licensed to Redline on a perpetual, royalty‑free basis.
“Fees” means subscription charges and any usage‑based or professional‑services amounts payable by the Client for use of the Platform.
“Force Majeure” means an event beyond the reasonable control of a party (including natural disaster, war, terrorist act, labour dispute, and internet outage) that excuses performance for its duration.
“Intellectual‑Property Rights” means all patents, copyrights, trade secrets, trademarks and other proprietary rights in and to the Platform, the Documentation, the Marks and the Client Content, as applicable.
“Marks” means the trade names, logos and trademarks owned by Redline.
“Order Form” means any online checkout page or written ordering document that specifies the Services purchased, the applicable Fees, term and any Special Terms.
“Platform” means the Redline cloud‑based software application (including www.redline.attorney and its sub‑domains) that analyses and red‑lines uploaded contracts.
“Professional Services” means optional consulting, onboarding or template‑creation work that Redline may provide under separate statements of work.
“Service Contract” means the legally‑binding SaaS agreement comprising the Terms of Service, any Special Terms, order forms, privacy or data‑processing annexes.
“Services” means collectively, access to and use of the Platform, support, professional services and any related deliverables provided by Redline under the Service Contract.
“Special Terms” means any signed addendum (such as an SLA, DPA or bespoke commercial schedule) that modifies or supplements the core Terms of Service.
Sub‑processor” means a third‑party service provider engaged by Redline to process personal data on its behalf (e.g., hosting, e‑mail delivery, payments).
“Support” means the help‑desk services available via e‑mail or in‑app chat during Business Hours for incident reports, troubleshooting and usage questions.
“User” means any individual (employee, contractor or collaborator) who accesses or uses the Platform under the authority of the Client.
Access & Use
No Legal Advice. Redline is not a legal practice and nothing on the Platform constitutes legal advice. All mark-ups, comments and document outputs are generated exclusively from material you upload and are supplied for general information only. They are not intended to guide or determine legal rights or obligations. You should engage qualified counsel before acting on, or refraining from acting on, any matter of law.
Permitted Purpose. The Platform may be used solely for (i) reviewing, red-lining, and collaborating on contracts and other legal documents; and (ii) any ancillary purpose expressly authorised in writing by us.
Registration. Access requires creation of an Account. You must provide accurate, complete, and up-to-date information and keep it so.
Credentials. You are responsible for safeguarding credentials and for all activity under your Account. Notify us immediately of unauthorized use.
Compliance. You and your Users must comply with these Terms, the Acceptable-Use Policy (Section 8), and all applicable laws.
Changes to Terms. We may amend these Terms by giving at least 14 days’ notice. Continued use after the effective date constitutes acceptance.
Account Security
We may suspend or revoke access if we reasonably believe these Terms are breached, your use poses risk, or payment is overdue.
You are responsible for implementing appropriate cybersecurity measures.
Professional Services, Support & SLA
Standard Support. E-mail and in-app chat support are available Monday–Friday 09:00–17:00 EET (excluding Estonian public holidays). We aim to acknowledge requests within 1 Business Day and provide a substantive response within 4 Business Days.
Maintenance. Planned downtime longer than 30 minutes is notified at least 24 hours in advance.
Professional Services. Consulting or onboarding services are provided under separate statements of work.
Content & Contributions
The Client owns all IPR in its Content. By uploading Content, you grant Redline a worldwide, non-exclusive, royalty-free licence to host, process, adapt, compile, reproduce, create derivative works from, publicly display and otherwise make available the Content as reasonably necessary to operate, maintain, and improve the Platform and its features.
Feedback. You grant Redline a perpetual, sublicensable, royalty-free right to use any Feedback.
Content must comply with Section 8. Redline may remove offending Content.
Content is retained 180 days post-termination unless earlier deletion is requested. Metadata required for audit may be kept up to 7 years.
Intellectual Property
Redline retains all IPR in the Platform, Documentation, and Marks.
You shall not reverse-engineer or decompile the Platform in any way. Any breach of this obligation shall be considered as a material breach of this Agreement and allow for the immediate discontinuation of Services by Redline. Redline retains all rights to seek damages and injunctive relief to the furthest extent permitted by Law.
Acceptable-Use & Content Policy
Users must not:
upload unlawful, harmful, defamatory, obscene, or infringing content;
introduce malware or disrupt the Platform;
share credentials or permit unauthorized access;
send spam;
misrepresent identity;
scrape, crawl, or harvest data;
upload content of third-parties without their permission;
use the Platform to provide competing services.
Beta & Preview Features
The Platform is currently in a Beta stage and any Services are provided on an “as-is” basis.
During the Beta stage, Services on the platform may be performed by either artificial intelligence solutions or by humans or both. The Client does not have a right to demand review by an artificial intelligence solution and does not have a right to a claim of damages against Redline in case the review is performed by a human.
Beta features are provided as-is, may change without notice, and are excluded from warranties and SLA commitments.
Fees, Payment & Refunds
Fees are invoiced in advance and due 14 days net unless paid by card.
Subscriptions renew automatically unless cancelled at least 1 day before renewal.
We may adjust fees on renewal with 30 days’ prior notice.
Overdue amounts accrue interest at 8 % p.a. and Redline has the right to suspend the Client’s use of the Platform and Services.
EU consumers waive the 14-day withdrawal right for digital content delivered immediately.
Payments are non-refundable except as required by law or SLA credits.
During the Beta stage, all paid Fees are refundable to the Client, if the Client is in any way dissatisfied with the Service and notifies Redline within 2 days after receiving the Content from Redline. Refunds shall be processed, and repayment shall be made to the Client within 3 Business Days. Redline does not take any responsibility for any delays regarding repayment relating to the Client’s payment methods or financial institution. The Client may request a payment order as proof of repayment if the repayment has not been received by the Client in 3 Business Days.
Modifications to the Service
We may enhance, replace, or discontinue features. If functionality is materially reduced, we give 30 days’ notice and offer pro-rata refunds.
Export-Control & Sanctions
You warrant you are not subject to EU/US/UN sanctions and will not use the Platform in embargoed jurisdictions. Any breach of this obligation shall be considered as a material breach of this Agreement and allow for the immediate discontinuation of Services by Redline. Redline retains all rights to seek damages and injunctive relief to the furthest extent permitted by Law.
Third-Party Services & Links
Redline is not liable for third-party services linked or integrated with the Platform.
Data Privacy, Security & Sub-Processors
Parties shall comply with GDPR. The Client is Controller; Redline is Processor.
A Privacy and Data-Processing policy is attached as Annex 1 to these Terms of Service.
Force Majeure
Neither party is liable for delays due to events beyond reasonable control.
Limitation of Liability
The Client accepts to use the Service on an “as-is” basis. Redline accepts no liability for the Client’s use of the Content produced on the Platform in the course of the Services. The Client is solely responsible for its use of the Content produced on the Platform.
To the fullest extent allowed by law, Redline disclaims all liability to the Client, whether arising in contract, tort (including negligence), or any other legal theory, for any direct or indirect damages, losses, costs, expenses, or other liabilities.
In any case, Redline is not liable for indirect, incidental, or consequential damages to the furthest extent permitted under Law.
Redline is not a law firm and all Content generated on the Platform and all Services provided are solely for informational purposes and does not constitute legal advice. Redline accepts no liability for the Client’s actions, or omissions, on any matter of law.
Aggregate liability of Redline is capped at fees paid in the 12-month period preceding the claim, subject to customary carve-outs.
Indemnification
Client indemnifies Redline for claims arising from Client Content or breach of law, including breaches of third-party confidentiality obligations and intellectual property rights.
The Client indemnifies Redline against any third-party claims arising from the Client use of the Content produced on the Platform in the course of the Services.
The Client indemnifies Redline against any claim arising from the Client’s use of the Content produced on the Platform resulting in the Client’s actions, or omissions, on any matter of law.
Term, Termination & Survival
Either party may terminate for convenience with 30 days’ written notice or for material breach. Access to the Platform and Services shall continue until the end of the period for which the Client has paid. Sections listed survive termination.
Assignment & Change of Control
Client needs Redline’s prior consent to assign; Redline may assign on merger or asset sale.
Publicity
Unless opted out in writing, each party may list the other’s name/logo as a reference.
Notices & Electronic Communications
Legal notices must be sent by registered post or signed e-mail and are deemed received per Section 21.
Amendments
Terms may be modified under Section 3.5; waivers must be in writing.
Miscellaneous
See order-of-precedence, entire-agreement, severability, governing language, and interpretation clauses.
Governing Law & Dispute Resolution
Estonian law applies; disputes are submitted to Harju County Court, Tallinn, Estonia.

Annex 1 – Privacy Policy
Data Privacy, Security & Sub-Processors
This Privacy Policy explains how Gateway Management OÜ ("Redline", "we", "our" or "us"), a private limited company established under the laws of Estonia, processes personal data when you ("Client" or "User") create an account on the Redline platform (the "Platform") and upload contract drafts to receive automated red‑line commentary.
Data Controller and Contact Details
Redline acts as Data Controller for account‑related personal data (e.g., registration information, billing data, usage logs). For contractual documents and any personal data contained therein ("Client Content"), Redline acts as Data Processor and the Client remains Data Controller.

Supervisory authority: Estonian Data Protection Inspectorate (AKI).
Personal Data We Collect
Account Data – name, e‑mail, password hash, company, billing address, VAT – Client – account creation, authentication, invoicing – contract Art 6(1)(b).
Document Data (Client Content) – uploaded contracts, comments, red‑line output – Client – provide red‑line service – contract Art 6(1)(b) & legitimate interest Art 6(1)(f).

Purposes of Processing
Service delivery: create your account, authenticate, store and process contract drafts, generate red‑line output.
Customer support: respond to tickets and troubleshoot issues.
Platform security: monitor, prevent, and investigate fraud or abuse.
Billing & compliance: issue invoices, maintain accounting records, comply with tax and AML laws.
Product improvement: analyze aggregated, de‑identified data to enhance models and features.
Marketing: send newsletters or event invites where you have opted in.
Data Retention
Account Data – life of account + 7 years (tax/book‑keeping).
Document Data – 60 days after account deletion unless earlier deletion requested or longer statutory period applies.
Usage Logs – 12 months for security and audit, then anonymized.
Marketing Data – until consent withdrawn.
Sharing & Sub‑Processors
We use vetted third‑party providers for hosting, e‑mail delivery, analytics, and payments. All sub‑processors sign GDPR‑compliant DPAs.
International Transfers
Transfers outside the EEA rely on European Commission Standard Contractual Clauses or adequacy decisions (Art 45‑46).
Data Subject Rights
You may: access, rectify, erase, restrict, port data; object to processing; withdraw consent; lodge a complaint with a supervisory authority. Requests: privacy@gatewaymgmt.ee. Response within 30 days.
Automated Decision‑Making
Redline does not carry out automated decision‑making producing legal effects under GDPR Art 22.
Cookies & Analytics
Essential cookies support sessions. Optional analytics cookies are disabled by default unless you opt‑in.
Changes to This Policy
Material changes notified by e‑mail or in‑app banner at least 14 days before taking effect.
